Final judgment in case DiaMedica versus PRA. For the interim judgment see ECLI:NL:RBAMS:2023:2540 (‘the April Judgment’). The remaining claim is for compensation of damage allegedly caused by statements made by X (PRA’s Vice President Medical Affairs) prior to and during the agreement to perform a clinical trial of DiaMedica’s drug (‘the Agreement’), as well as PRA’s alleged refusal to provide access to the study data and study site. This claim is governed by New York law, not only where it relies on specific provisions in the Agreement (which contains a choice for New York law), but also where interpretation of the Agreement appears indispensable to establish the lawful or unlawful nature of PRA’s alleged conduct (see EU Court of Justice Wikingerhof v Booking). Any non-contractual obligation arising out of dealings prior to the conclusion of the Agreement is also governed by the law that applies to the Agreement (Article 12(1) Rome II Regulation). DiaMedica’s claim for damages does not meet the requirements of New York law for fraudulent inducement or fraudulent or negligent representation. X’s statements were not false or were not relied upon by DiaMedica for its business decisions. DiaMedica did not show that not having access to the study data and study site was the direct and proximate cause of its damage. Therefore DiaMedica’s claims are denied. The Court allows PRA’s counterclaims seeking reversal of the enforcement of the April Judgment by the bailiff instructed by DiaMedica. The bailiff did not observe the statutory notification and waiting period of 2 days before taking enforcement action (Article 491(1) in connection with Article 439(1) Dutch Code of Civil Procedure, DCCP), which invalidates the enforcement (Article 65 DCCP). PRA was unreasonably prejudiced by the untimely enforcement, as it was induced to think it had ample time to appeal the April Judgment and the enforcement took place outside PRA’s ambit and without PRA’s knowledge. The Court dismisses PRA’s counterclaim for compensation of the full costs of all proceedings initiated by DiaMedica against PRA inside and outside the Netherlands. When assessing alleged abuse of procedural law or wrongful acts by initiating proceedings, restraint is appropriate, in view of the right to access to justice that is also guaranteed by Article 6 of the European Convention on Human Rights.
